根据《中华人民共和国担保法》及相关法律法规的规定,为确保甲乙双方签订的合同编号:借 号《借款合同》(以下简称《借款合同》)约定的借款本息和其他费用的履行,甲方以其持有的 有限公司 %的股权作为质押担保。现甲乙双方按照平等自愿、诚实信用原则,经充分协商一致,达成如下合同条款,双方共同遵照执行:
第一条 本合同所担保的债权为:甲方依据《借款合同》约定按期向乙方偿还全部合同项下的金额,包括但不限于借款本息、罚息、违约金、赔偿金以及乙方为实现债权而发生的律师费、诉讼费和其他费用等。
第二条 质押合同标的
(1)质押标的为甲方持有 有限公司 万元(占持股比例 %)的股权及其派生权益。
(2)以上质押股权及其派生权益,系指质押物股权自身价值及其股权应得红利及其他收益,作为本质押项下借款本息、罚息、违约金、赔偿金以及乙方为实现债权而发生的律师费、诉讼费和其他费用等偿还的担保。
第三条 质押登记
1、甲方应在本合同订立后3日内到相关股权质押登记部门办妥股权的质押登记手续,将质押登记证书的正本原件交乙方保管。

2、办理质押登记手续所需的评估费用、公证费用、登记费、手续费等费用由甲方承担。
第四条 双方的权利义务
1、甲方保证 有限公司股东会同意甲方以其持有的该公司股权出质,并且向乙方出具与此相关的经合法程序通过的股东会决议。甲方保证对质押的股权拥有完全的、有效的处分权,保证上述股权在此之前未设置质押权,并免遭第三人追索。
2、乙方有权要求甲方提供有关财务报表,和对上述股权的评估等资料。甲方应对其提供的资料的完整性、真实性、合法性负责。
3、上述股权的所有权证明文件应于本合同生效当日交付乙方,质押期间由乙方保管。质押期间,甲方不得擅自处置质押股权。在本合同有效期内,甲方如需转让出质股权,须经乙方书面同意,并将转让所得款项提前清偿借款本息及综合费和其他费用等。
4、如借款人未能按期偿还上述《借款合同》的本息及相关费用,乙方同意甲方有权以变卖、拍卖、折价等方式处置质押股权并从所得价款中优先受偿,而无需经过司法程序。
5、本合同项下的《借款合同》如有修改、补充而影响本合同时,应不免除或减少甲方在本合同中所承担的责任,不影响或侵犯乙方在本合同项下的权益。
6、乙方的行为造成甲方所涉权益及其它财产价值减少的,乙方应当恢复其价值或提供经甲方认可的与担保权益及其它财产价值减少相当的担保,乙方拒绝的,甲方可以提前行使本合同约定的质权,所得价款作为向甲方交纳的履约保证金。若造成了甲方损失,乙方还应承担赔偿责任。
第五条 发生下列事项之一时,乙方有权依法处分质押股权及其派生权益,所得款项及权益优先清偿借款本息、罚息、赔偿金、违约金以及乙方为实现债权发生的律师费、诉讼费和其他费用等。
(1)甲方不按本质押合同项下《借款合同》约定,如期偿还借款本金、利息及其他费用等。
(2)甲方停业、处置主要生产经营设备、场所等、被宣告解散、破产、吊销营业执照等而无法继续营业的。
(3)股权质押后,未经乙方书面许可,甲方做出股权变动的行为,包括但不限于增资扩股行为、将股权向第三方转让行为、赠与和再质押行为,以及向工商管理部门
