Bowen(1953)的著作—《商人的社会责任》一书，在书中他将企业社会责任定义为企业社会责任就是企业追求的政策、执行的决策、遵循的准则都要与社会的目标和价值相一致。
目前，在所有关于企业社会责任的定义中，影响较大的是由 Carroll(1979)提出的，他认为企业社会责任是企业对社会所承担的经济责任、法律责任、伦理责任和自主性责任(又称慈善责任)的总和，具体来说，企业应该对利益相关者负责。即便是这样的定义，也有其不足之处:一是，将企业社会责任作为一个与企业责任等同的对象范围及其宽泛的属概念，使其不适当地包含了各种形形色色的企业责任类型;二是，将本应视为企业道德责任之组成部分的企业慈善责任与企业道德责任并列，忽略了二者在本质上的一致性;三是，缘于上述第一点不妥之处，这一界定使得企业经济责任、企业社会责任、企业法律责任和企业道德责任之间本来的逻辑关系变得混乱(卢代富, 2002)。笔者也赞同卢代富这几点意见，我们将企业社会责任界定为:企业是一个追求股东利益最大化的经济组织，企业社会责任伴随着企业追求股东利益最大化的过程，是企业在谋求股东利益最大化之外所承担的维护和改善股东之外的利益相关者(包括员工、顾客、社区、环境、供应商等)的福利的义务，是企业在经济责任之外所承担的责任，包括法律法规责任和伦理道德责任，企业社会责任和企业经济责任一起构成了企业责任。
