中国证券业协会关于改进代办股份转让工作的通知
发布部门: 中国证券监督管理委员会 发布文号: 各主办券商：
代办股份转让系统试运行一年，在各方的关心支持下，取得了一定成效，积累了有益经验，同时运行过程中也逐步反映出一些需要解决的问题。为了适应新的要求，在多方征求意见的基础上，现将改进代办股份转让工作的有关事项通知如下：
一、调整代办股份转让方式
１、根据股份转让公司质量，实行区别对待，分类转让。
２、股份分类转让标准
同时满足以下条件的股份转让公司，股份实行每周五次的转让方式：

（１）规范履行信息披露义务；
（２）股东权益为正值或净利润为正值；
（３）最近年度财务报告未被注册会计师出具否定意见或拒绝发表意见。
上述股东权益为正值是指最近会计年度经审计的股东权益扣除注册会计师不予确认的部分后为正值；净利润为正值是指最近会计年度经审计的扣除非经常性损益后的净利润为正值。
不能同时满足以上条件的股份转让公司，股份实行每周三次的转让方式。
３、股份分类转让实施要求
股份分类转让可从２００２年９月２０日起实施，在实施股份分类转让前，主办券商应完成下列工作：
（１）公司提出申请，经主办券商审核并办完相关手续。
（２）完成与深圳证券交易所和中国证券登记结算有限责任公司深圳

分公司的技术测试，系统运行安全可靠。
（３）制定当主办券商不能履行代办股份转让业务职责时，其职责能及时转移的预案。
（４）主办券商和股份转让公司在股份实施每周五次转让方式的三个工作日前，就调整股份转让方式事项进行公告。
４、建立股份转让方式的正常调整机制
股份转让每周五次的公司出现下列情形之一，主办券商应将其股份转让调整为每周转让三次，并作出公告，说明调整的原因，同时报我会备案。如公告当日为股份转让日，当日暂停转让。
（１）股份转让公司拒不履行信息披露义务；
（２）最近年度经审计的股东权益为负值且净利润为负值；
（３）最近年度财务报告被注册会计师出具否定意见或拒绝发表意见。
二、退市公司列入代办股份转让试点范围

１、凡符合以下条件的退市公司，其股份可进行代办转让：
（１）公司依法完成退市手续，向主办券商正式提出代办股份转让申请。主办券商与退市公司签订代办股份转让协议。
（２）公司股东在主办券商营业机构开立非上市股份有限公司股份转让账户。
（３）符合《证券公司代办股份转让服务业务试点办法》规定的其他条件。
２、主办券商要根据退市公司股份数据集中、登记托管规范的特点，协助申请转让的退市公司加快股份转托管进度。
３、主办券商对提出申请在股份转让系统挂牌的退市公司，要积极指导其及时完成挂牌手续。
４、适当降低退市公司股份转让初费和年费。
三、加强对代办股份转让业务的自律管理

１、主办券商要严格遵守证券市场的法律、法规，健全内部控制制度和风险防范机制，应设置专门机构，配备必要的专职人员并由公司副总经理以上的高管人员负责该项业务日常管理。
２、股份转让公司在依法公开披露信息前，主办券商不得擅自公开或泄露有关信息的内容。主办券商及其工作人员不得利用股份转让公司的内幕信息直接或间接谋取利益。
３、主办券商要对股份转让公司的全体董事、监事及高级管理人员进行辅导，使其了解应遵守的法律、法规和应履行的委托代办股份转让协议所规定的责任、义务。主办券商应在公司挂牌前完成初次辅导。
