一、申请设立有限责任公司的负责人
1.普通有限责任公司。申请设立普通有限责任公司的责任人是公司的全体股东。具体办理申请设立事宜，由全体股东共同指定的代表或者共同委托的代理人负责。

二、申请设立有限责任公司，应当向公司登记机关提交下列文件：
1.公司法定代表人签署的设立登记申请书;
2.公司章程;

三、申请设立特殊有限责任公司的要求
