(d) its execution of this Contract and its performance of its obligations hereunder(i)will not

violate any provision of its business license, articles of incorporation, articles of association or similar organizational documens; (ii) will not violate any Applicable Law or any governmental authorization or approval; and (iii) will not violate or result in a default under any contract to which it is a party or to which it is subject; 该方签订本合同以及履行本合同项下义务：（i）不会违反其营业执照、成立协议、章程或类似组织文件的任何规定（ii）（iii）

不会违反有关法律或任何政府的授权或批准；并且

不会违反其作为当事人一方（或受之约束）的其他任何合同，也不会导致其被认定在该合同项下未履约：

(e) no lawsuit, arbitration or other legal or governmental proceeding is pending or, to its

knowledge, threatened against it that would affect its ability to perform its obligations under this Contract; and

不存在将影响该方履行本合同项下义务的能力的、已经发生且尚未了结的诉讼、仲裁申请或其他司法或行政程序，而且据其所知无人威胁将采取上述行动：并且

(f) it has disclosed to the other Party all documents issued by and governmental department

that may have a material adverse effect on its ability to full perform its obligations under this Contract, and the documents previously provided by it to the other Party do not contain any misstatements or omissions of material facts.

该方已经向对方提供可能对其全面履行其在本合同项下义务的能力造成重大不利影响的相关政府机构颁发的所有文件，并且该方此前提供给对方的文件中没有对任何重要事实的不实陈述或者漏述。

2.3 consequences of lnaccuracy in Representations

if any of the above representations and warranties of a Party are not accurate in all material respects on the date hereof, then such Party shall be in breach of this Contract.

如果在本合同签订日，一方的上述陈述和担保的任何一项与实际情况有实质性不符，则构成该方违约。

2 Extension
