国有股权转让的流程是怎样的

很多时候进行股权的转让都是对一些私营企业的股权进行转让，殊不知其实对国有股权也是可以进行转让的，当然此时也是要严格按照法律规定的条件、流程来操作。那具体来说，国有股权转让的流程是怎样的呢？我们一起在下文中进行详细了解。

(一)初步审批

转让方就本次股权转让的数额、交易方式、交易结果等基本情况制定《转让方案》，申报国有产权主管部门进行审批，在获得同意国有股权转让的批复后，进行下一步工作。 (二)清产核资

由转让方组织进行清产核资(转让所出资企业国有产权导致转让方不再拥有控股地位的，由同级国有资产监督管理机构组织进行清产核资)，根据清产核资结果编制资产负债表和资产移交清册。

(三)审计评估

委托会计师事务所实施全面审计，在清产核资和审计的基础上，委托资产评估机构进行资产评估。(评估报告经核准或者备案后，作为确定企业国有股权转让价格的参考依据)

(四)内部决策

转让股权所属企业召开股东会就股权转让事宜进行内部审议，(如果采取协议转让方式，应取得国有资产主管部门同意的批复，转让方和受让方应当草签转让合同，并按照企业内部决策程序进行审议)，形成同意股权转让的决议、其他股东放弃优先购买权的承诺。涉及职工合法权益的，应当听取职代会的意见，并形成职代会同意转让的决议。

(五)申请挂牌

选择有资格的产权交易机构，申请上市交易，并提交转让方和被转让企业法人营业执照复印件、转让方和被转让企业国有产权登记证、被转让企业股东会决议、主管部门同意转让股权的批复、律师事务所的法律意见书、审计报告、资产评估报告以及交易所要求提交的其他书面材料。

(六)签订协议

转让成交后，转让方和受让方签订股权转让合同，取得产权交易机构出具的产权交易凭证。

(七)审批备案

转让方将股权转让的相关文字书面材料报国有产权主管部门备案登记。

(八)产权登记

转让方和受让方凭产权交易机构出具的产权交易凭证以及相应的材料办理产权登记手续。

(九)变更手续

交易完成，标的企业修改《公司章程》以及股东名册，到工商行政管理部门进行变更登记。
