This Strategic Co-operati onal Agreeme nt （the 本战略合作框架协议（以下简称“协议”）

In con siderati on of the terms and cove nants of this agreeme nt, and other valuable con siderati on, the parties agree as

follows:

鉴于本协议所含之相互约定和承诺，订约双方协议如下：

1. RECUTALS

a. Both parties desire to join together for the pursuit of com mon bus in ess goals.

b. Both parties have con sidered various forms of jo int bus in ess en terprises for their bus in ess. c.

Both parties desire to en ter into a co-operati on agreeme nt as the most adva ntageous bus in ess form for their mutual purpose.

一. 事实陈述

a. 合作双方欲联合起来追求共同所需的商业目标。

b. 合作双方已经就其经营业务考虑了各种形式的合作方式。 c.

合作双方欲就其互利目标达成一项合伙协议作为其最佳商业形式。

2. RESPONSIBILITIES & RELIABILITIES Party A -

Accord ing to the in formati on of XXXX bus in ess access sta ndards, in vestme nt en vir onment and tax policy which

provided by Party B, Party A shall recommend the high-quality companies from China to con duct bus in ess through Party B in XXXX.

Provide the full docume ntati ons of Chin ese compa nies to con duct bus in ess in XXXX.

Ensure the authenticity and legality of all the documentation provided by the Chinese companies.

As authorized by Party B, Party A is responsible to the signing and interpretation of various docume nts for mutual bus in ess.

Assist Party B to con duct the bus in ess promoti ons and publicities in China.

Party B shall provide all the finan cial support on their bus in ess in China; it in cludes bus in ess in itiati on, man ageme nt and promoti on.

As Party A shall refer the Chinese Companies to Party B. Party B shall provide these companies the consultant services regarding legal, audition, taxation, financial, risk management, accounting and other related areas.

In order to establish the inten sive ness bus in ess co-operati on. Party B shall provide all the bus in ess related docume nts, in formati on, legal acts and gover nmen tal in formati on in XXXX for the refere nee of Party A.

Party B shall provide a systematic training course on XXXX bus in esses SOP (Sta ndard Operati on Procedure), XXXX law & Tax regulations and IIM Billing system for Party A employees.

二. 责任与义务甲方

- 甲方根据乙方所提供的 XXX业务进入标准、投资环境以及税收政策，为乙方推荐中国国内优质企业到乙方公司开展业务。

提供中国公司在 XXXX进行业务所需的所有文件。确保中国公司文件的真实性、合法性。

负责乙方在中国业务各种文件的签署、解释工作。协助乙方在中国展开相关业务的推广及宣传。

乙方将提供其相关项目的所有开展、管理及推广业务的资金。

甲方所推荐到 XXXX地区的企业，乙方须为其提供后续的经营、管理、法律法规咨询、会计及其他相关的顾问服务工作。

乙方根据甲方在中国开展业务的需要，提供一系列必要的宣传类资料，包含当地的税收政策、投资环境分析、乙方公司的官方宣传材料等。乙方须向甲方特定人士进行课程。

3. COMMUNICATION STRUCTURE

For a better future bus in ess developme nt. Party A and Party B shall establish a regular meeti ng schedule for the bus in ess assessme nt, bus in ess flow and in formati on excha nge.

三. 业务沟通交流机制

为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。

4. CONVENANT AGAINST REVEALING TRADE SECRETS

No party shall, duri ng the con ti nuance of the co-operati on relati on ship or for 5 years after its term in ati on by any means, divulge to any person not a member of both firms any trade secret or special information employed in or con ductive to the co-operati on bus in ess and which may come to the both party '

kno wledge in the course of the co-operati on relati on ship, without the consent in writ ing of the other party, or of the other party 'heirs, adm ini strators, or assig ns.

四. 保守商业秘密的承诺

在甲、乙双方展开合作业务的存续期间或无论以何种方式终止合作业务后务的运营过程中，该信息可能会成为合作双方的专有知识。

5年内，如果没有其他合伙人或

其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业

5. DURATION OF AGREEMENT

The term of this agreeme nt shall be for 1 year, comme ncing on [DATE], and term in ati ng on [DATE], uni ess sooner term in ated by mutual consent of the parties or by operati on of the provisi ons of this agreeme nt.

五. 协议期限

本协议期限为［1］年，从［2011年x月x日］开始到［2012年x月x日］结束，除非甲、乙双方同意或本协议条款规定可终止该协议。

6. GOVERNING LAW

The en forceme nt and in terpretati on of this agreeme nt shall be gover ned by the laws of THE PEOPLE ' REPUBLIC OF CHINA.

六. 法律适用

本协议的实施和解释适用于中华人民共和国法律。

7. RESOLUTION OF DISPUTES

Any dispute arising out if or in connection with this Agreement, shall be governed and construed by the laws of the PEOPLE ' REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION, and shall be referred to an d fin ally resolved by Chi na Beijing District Court, P.R.C.

七. 争议的解决方案及管辖

所有因履行本协议引起的，与之相关的或不能够通过协商解决的争议及纠纷，任何一方均可将争议提交中国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。

8. PREVAIL OF LANGUAGE VERSION

Any con tradicti on betwee n Chin ese and En glish versi on, Chin ese vers ion shall prevail.

八. 中文及英文版本间的效力

所有因中、英文版本引起的矛盾及争议，以中文版本为准。

Both parties will be based on actual n eeds of the bus in ess co-operati on to sig n the specific

bus in ess con tracts and execute accord in gly. If there are incon siste ncies betwee n the con tract and this agreeme nt, the con tract shall prevail.

九.其他事项

甲乙双方将根据实际需要在实际业务合作时签订具体业务合同，并按合同约定执行。如具体业务合同存在与本协议不一致之处，以具体业务合同约定为准。
