国有商业银行公司治理结构研究
摘 要
国有商业银行作为中国银行业的主体, 在经济和社会发展中具有举足轻重的地位，其改革与发展直接关系到中国经济发展的全局。随着经济全球化以及我国经济体制改革的不断深入，国有商业银行进行现代企业制度改革，建立科学、有效的公司治理结构，已经成为当前我国商业银行改革与发展的根本出发点。因此，有必要对国有商业银行的公司治理结构作系统、深入的分析研究，找出适合我国国情的、有效的完善对策，这是提高国有商业银行国际竞争力，应对外资银行挑战的必由之路，也是确保金融稳定，防范和化解金融风险的必然选择。此外，对国外商业银行典型公司治理结构模式的考察，能为我们提供颇具借鉴价值的国际经验。

Abstract
As the main body of China's banking sector, State-owned commercial banks play a decisive role in the development of economic and society, whose reform and development directly relate to the overall situation of China's economic development.With economic globalization and the constant deepening of China's economic reform, state-owned commercial banks need to conduct modern enterprise system reform and establish a scientific, effective corporate governance structure, which has become the fundamental starting point of China's commercial banks' reform and development. Therefore, it is necessary for us to make systematic and in-depth analysis of state-owned commercial banks' corporate governance structure and find out effective countermeasures suited to China's national conditions. This is not only the way for state-owned commercial banks to improve the international competitiveness and deal with the challenges from foreign banks, but also the inevitable choice to ensure the financial stability, preventing and resolving financial risks. In addition, researching on the typical model of corporate governance structure in foreign countries' banks can provide valuable international experience for us.
