鉴于乙方在甲方任职，已经
(或将要)知悉甲方的商业秘密，乙方在职期间将对企业的发展做出贡献，甲方向乙方支付劳动报酬，本着保护企业商业秘密权和职工依照法律享有的权益的原则，根据我国有关法律规定，就乙方在任职期间及离职以后保守商业秘密的有关事项，甲、乙双方在平等、自愿、公平和诚实信用的原则下，订立本保密协议并共同遵守：
第一条： 定义
本协议中甲方的商业秘密是指甲方所有的、不为公众所知悉、能为甲方带来经济利益、具有实用性并经甲方采取保密措施的技术信息和经营信息。
第二条：商业秘密的范围
双方确认甲方的商业秘密包括但不限于下列信息：试验结果和试验记录、工艺流程或制作方法、技术参数、工艺配方、中间产品或最终产

品配方、样品、数据、客户名单、产销策略、货源情报、招投标中的标底及标书内容信息、不公开的财务资料和统计资料等信息。
第三条：乙方认识到保守商业秘密是关系到企业生存和发展的严重问题，因此，对企业的所有商业秘密，愿承担保密义务，除因工作需要并善意履行对企业的义务和得到企业指示并在业务需要的范围内，向应该知道上述内容的企业职工或企业的客户进行保密交流外：
1、不得故意获取与本职工作或本身业务无关的商业秘密;
2、不得直接或间接向企业内部无关人员泄漏;
3、不得向不承担保密义务的任何第三人披露;
4、不得为自己利益使用或计划使用;
5、不得允许
(出借、赠与、出租、转让等处分甲方商业秘密的行为皆属于“允许”)或协助不承担保密义务的任何第三人使用;
6、不得随意复制或披露包含企业商业秘密的文件或文件副本;

7、对因工作所保管、接触的企业客户提交的文件应妥善对待，未经许可不得超出范围使用;
8、如发现甲方的商业秘密被他人泄露或者自己过失泄露商业秘密，应当立即采取有效措施防止泄密进一步扩大，并及时向甲方企业报告。
第四条：保密期限
甲、乙双方确认，乙方的保密义务自甲方对本协议第一条所述的商业秘密采取适当的保密措施并告知乙方时开始，乙方是否在职，不影响保密义务的承担。乙方离职之后仍对其在甲方任职期间接触、知悉的属于甲方或者虽属于第三方但甲方承诺有保密义务的商业秘密信息，承担如同任职期间一样的保密义务和不擅自使用有关秘密信息的义务，而无论乙方因何种原因离职。乙方离职后承担保密义务的期限直至甲方宣布解密或者秘密信息实际上已经公开。
